Terms of Service & Licence

In short: GrelDesk is free to use, you keep your own data, we don't claim any ownership of it, premium is a monthly subscription you can cancel at any time, and the software is provided as-is. The rest of this page is the same thing said carefully.

1. Agreement

These terms are between you and Grinning Elephant, LLC ("we", "us"). By installing or using GrelDesk (the "Software") you agree to them. If you don't, don't use it.

2. Licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software for your own use, personal or commercial.

The Software is proprietary. It is licensed, not sold. You may not:

redistribute, resell, sublicense or rent it;
reverse engineer, decompile or disassemble it, except where that restriction is prohibited by law;
remove or obscure any proprietary notices;
use it to build a competing product.

We retain all rights in the Software, its name and its branding. Any component distributed under a separate open-source licence remains governed by that licence.

3. Your data is yours

We claim no ownership of anything you create with GrelDesk — your layouts, notes, settings or files. You grant us only the narrow permission needed to operate features you switch on: to store a backup so we can give it back to you, and to hold your account details so you can sign in. Nothing more. See the Privacy Policy for specifics.

4. Accounts

An account is optional. GrelDesk works fully without one.
You must give a valid email address and confirm it before you can sign in.
You are responsible for keeping your credentials secure and for activity under your account.
One person per account. Don't share it.
You can delete your account at any time.

5. Premium subscriptions

Premium is billed monthly in advance through Stripe. By subscribing you also accept Stripe's terms.
It renews automatically until cancelled.
Cancel any time. You keep premium until the end of the period you've paid for; we don't pro-rate partial months.
We may change the price. If we do, we'll tell you before it applies to you, and you can cancel.
If a payment fails, premium features may stop until it's resolved.

If premium doesn't do what we said it does, tell us — we'd rather refund you than argue. Statutory refund rights in your country apply regardless of anything in these terms.

6. Backups are a convenience, not a guarantee

Please read this one. Backups are a best-effort convenience feature. We keep a limited number of recent backups depending on your plan, and older ones are deleted automatically. We do not guarantee that a backup exists, is complete, or can be restored. Keep your own copies of anything you can't afford to lose — the app's export produces exactly that file.

7. Acceptable use

Don't use GrelDesk or our servers to:

break the law, or infringe anyone's rights;
store or distribute malware;
attack, overload or probe our infrastructure, or try to reach other users' data;
circumvent premium gating or usage limits.

We may suspend or terminate an account that does these things.

8. Third-party services

GrelDesk can connect to services we don't control — Google, Microsoft, weather and icon providers, and any service a plugin you use calls. Your use of those is governed by their terms, and we're not responsible for them or for changes they make. If one becomes unavailable, the feature that depends on it may stop working.

9. Availability

We don't promise any particular uptime. GrelDesk's core workspace runs locally and keeps working when our servers don't; account features (sign-in, backup, restore) do not. We may change, suspend or discontinue features. If we discontinue a paid feature we'll give reasonable notice and stop charging for it.

10. Termination

You can stop using GrelDesk and delete your account at any time. We may suspend or terminate your access if you materially breach these terms. On termination your licence ends; sections 11, 12 and 13 survive.

11. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL NOT BE LOST.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS OR GOODWILL, ARISING FROM YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR USD 50.

Some jurisdictions don't allow these exclusions, so they may not apply to you. Nothing here limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law.

13. General

Changes. We may update these terms; we'll change the date above and, for significant changes, tell you in the app. Continuing to use GrelDesk means you accept them.
Governing law. These terms are governed by the laws of the State of Texas, United States, and the courts located in Texas have exclusive jurisdiction.
Severability. If a provision is unenforceable, the rest stands.
Entire agreement. These terms and the Privacy Policy are the whole agreement between us about the Software.
